Terms and Conditions

Working with Humid Studio

Effective Date: 22 August 2025

These Terms & Conditions outline the working relationship between Humid Studio (operated by Haylea Paul, ABN 42 273 831 206) and you (the “Client”). By confirming a project, accepting a quote, or making payment, you agree to the following terms.

These terms are in place to ensure clarity, efficiency, and a smooth creative process for all clients.

1. Amendments & Revisions

  • Each quoted project includes two (2) rounds of amendments.

  • An “amendment” is defined as the Client’s request for changes or revisions to the initial deliverables.

  • Additional revisions beyond the included two rounds will be billed at $85.00 AUD per hour.

  • Additional revisions may include, but are not limited to:

    • Contradictions to the original agreed scope of work

    • Changes of mind after feedback rounds

    • New creative direction once work has commenced

    • Requests outside the original brief

  • Corrections due to errors by Humid Studio will be fixed at no extra cost and will not count towards the included rounds.

2. Urgent & Weekend Work

  • Any project requiring delivery within five (5) business days will incur a $350 AUD rush fee (if it requires a significant number of hours).

  • If meeting a deadline requires weekend work, an additional $220 AUD per weekend day (Saturday and/or Sunday) will be added to the invoice.

  • All urgent and weekend availability is subject to scheduling confirmation from Humid Studio.

3. Delays & Inactivity

  • If a project is delayed by more than 20 business days due to Client inactivity or unresponsiveness, the project will be placed on hold.

  • To restart, a $250 AUD rebooking fee will be charged to:

    • Re-familiarise with your project and files

    • Reset workflows and timelines

    • Secure a new slot in the studio schedule

  • Delays exceeding 30 business days may require a new quote based on current pricing and scope.

  • Humid Studio reserves the right to invoice for all completed work if the delay is prolonged or indefinite.

4. Project Termination (Kill Fee)

  • If the Client abandons or terminates the project after the quote has been accepted and/or work has commenced:

    • The full quoted project fee remains payable

    • A Kill Fee of $350 AUD will be charged to cover lost time, rescheduling, and allocated resources

  • No files, drafts, or work-in-progress will be delivered unless all outstanding payments (including the Kill Fee) are received in full.

5. Working Files & Ownership

  • Working design files (e.g., .psd, .ai, .indd, .eps) remain the property of Humid Studio unless otherwise agreed in writing.

  • If the Client wishes to obtain working files:

    • They may be released for an additional 30% of the total project invoice

    • Upon payment, the Client will gain full ownership and usage rights

  • Until payment is made, Humid Studio retains all rights and ownership of the working files and intellectual property.

  • This fee is separate from the base project cost and only applies if file access is requested.

6. Final Asset Release & Payment

Humid Studio reserves the right to request full payment of the total project invoice prior to releasing any final design assets. This ensures that all deliverables are fully paid for before being provided in their final form.

7. Client Responsibilities

  • Clients must provide clear, timely feedback and all required assets (e.g., logos, copy, photography) by the agreed deadlines.

  • Delays in providing required content may affect the project timeline.

  • Humid Studio is not responsible for missed deadlines caused by Client delays.

8. Acceptance of Terms

By proceeding with your project, you acknowledge that you have read, understood, and agreed to these Terms & Conditions.
